General terms and conditions
1.1. GENERAL TERMS AND CONDITIONS
These General Terms and Conditions (hereinafter referred to as “GTC”) of Nile Clothing AG (hereinafter referred to as “NILE”) contain the terms and conditions of contract between you (hereinafter referred to as “customer”) and NILE for any purchases or use of NILE’s services in the online store at www.nile.ch (henceforth referred to as “website”). Please read these GTC, including the Privacy Policy, carefully before using the website. By using the website in any way, you declare your express agreement to the following GTC, including the Privacy Policy. These GTC form an integral part of all contracts concluded between the customer and NILE, without the need for an explicit confirmation each time.
These GTC apply to the use of the website in the currently valid version available at the time of order. NILE reserves the right to amend these GTC in whole or in part at any time in order to comply, for instance, with legal, technical or economic requirements. The amended version of these GTC shall enter into force automatically and replace the previously valid version as soon as it is published for the first time on the website. If you continue to use the website after the amended GTC have been published on the website, you shall be deemed to have accepted and agreed to the amended GTC. If you do not agree to the changes to the GTC, you may no longer use the website. Unless otherwise specified, these GTC shall supersede all prior oral or written agreements, negotiations, correspondence, obligations and communications between you and NILE.
The online product offerings are only valid as long as they are visible on the website and while stocks last. The illustrations shown on the website are for illustrative purposes only and are absolutely non-binding and, in particular, do not represent any assurance of properties or guarantees. This also applies to the information and explanations given in catalogs and on leaflets. NILE accepts no responsibility for any errors or inaccuracies in conjunction with the above-mentioned illustrations, diagrams, explanations, catalogs, leaflets or on the website.
1.2. ORDERING, DELIVERY TERMS AND RETURNS
Ordering
The products and services presented on the website do not constitute a binding offer from NILE, but an invitation to the customer to submit an offer to conclude a purchase agreement. By ordering and pressing the “Buy now” button, the customer makes a legally binding offer to purchase the ordered goods. Once the order has been received, the customer receives an automatically generated order confirmation.
This order confirmation does not yet constitute acceptance of the offer, but merely confirms receipt of the order.
NILE expressly reserves the right to accept the order. The purchase agreement only comes into effect when the goods are dispatched (leaving the warehouse) by NILE. The risk of accidental loss shall pass to the customer upon conclusion of the contract. For orders by consumers in the EEA, the statutory regulation on the transfer of risk pursuant to Art. 20 of the Consumer Rights Directive remains unaffected.
By placing the order, the customer accepts these GTC in full, to the exclusion of any other existing terms or conditions. In particular, the terms and conditions of sale and business of the NILE stores (within the NILE group companies) do not apply to online orders. NILE reserves the right to refuse orders at any time without giving reasons.
Delivery
NILE only handles online store orders from the countries currently listed on the website.
When ordering, the customer can enter the desired delivery address for a country currently listed on the NILE website. This may be different from the billing address. The following delivery options are generally available:
- Delivery to the billing address
- Delivery to an alternative shipping address
The delivery options may be adjusted without explicit information from the customer.
Returns
It is the customer’s responsibility to check the goods immediately upon delivery for correctness, completeness and delivery damage and to complain about any defects or deviations from their order. The aforementioned defective goods, or those that do not suit or satisfy the customer, may be returned by the customer within 14 calendar days without giving reasons. The 14 calendar days shall be determined by the date of receipt of the parcel by the customer and by the postmark of the return shipment. The goods must be returned in the original packaging and with the enclosed delivery note. Only unworn, clean, undamaged and complete goods with the label attached in the original NILE packaging shall be taken back. In the event that goods are returned, the shipping costs shall be borne by the customer. Once the goods have been received, NILE checks the returns and decides whether they are in perfect condition and a refund can be made. The refund will be made using the same payment method as the original payment and usually within 10 working days. Only the value of the goods will be refunded. Any shipping costs incurred will not be refunded.

All goods can be returned within the deadline, provided they have not been used or worn before. The customer should keep the proof of postage, as it serves as evidence in the event that a parcel is lost. When the deadline has expired, the purchase is considered concluded. Used items, those that have been ordered or manufactured according to special customer requirements, and items without the original labels attached, are excluded from the right of return.
Refund
If an order is returned, the debited amount will be refunded in the same way as the original payment method, unless the conditions listed under “Returns” have not been met.
Shipping costs
Switzerland and Liechtenstein: there are no shipping costs.
European Union countries: there are no shipping costs.
All countries that are not included above but are delivered to: for all other countries, the minimum order value per order is CHF 100. There is an additional flat-rate delivery charge of CHF 25 per order.
1.3. PAYMENT TERMS AND CONFIRMATION
Payment methods
The price indicated in the order confirmation will be charged. The list of accepted payment methods can change continuously and without prior notice. Payment methods may vary depending on the country of delivery and the currency.
Payment details
NILE does not store customers’ complete payment details (credit card details, etc.). The data stored by NILE serves only as proof and reference for the transaction between the customer and NILE. This can be the payment provider’s reference numbers or, for instance, the last four digits of the credit card.
Prices
Switzerland and Liechtenstein: all prices in CHF including VAT.
European Union: all prices in EUR including VAT.
All other countries worldwide that are not listed above: all prices in CHF excluding taxes (sales taxes, HST, GST, PST, etc.)
Payment for all orders shall only be accepted in the currencies indicated in the online store. NILE reserves the right to change prices at any time. For the goods ordered by customers, however, the prices valid on the order date and stated on the order confirmation shall always apply, except in the case of an obvious error.
Order confirmation
Every order and every change shall be confirmed to the customer by email (order confirmation).
Late payment
If the customer fails to meet all or part of their payment obligations, all outstanding amounts owed by the customer to NILE under any title shall be due immediately and NILE may demand payment thereof. NILE shall charge a fee of CHF 20 (or the corresponding value in EUR) for the second reminder. The right to assert further costs remains reserved.
Contract termination provisions
If the customer fails to meet or only partially meets any of their obligations, NILE reserves the right to stop all deliveries or to terminate the current contract.
1.4. OWNERSHIP
Until full payment is made, the goods remain the property of NILE. NILE is entitled to make a corresponding entry in the retention of title register.
1.5. CUSTOMER ACCOUNT AND NILECARD
Customer account (user account on www.nile.ch)
The customer has the option to create a customer account (username and password) on the website. The customer is responsible for keeping the username and password secret and bears responsibility for all actions carried out under the corresponding username and password. NILE is not liable for any loss or damage caused by failure to ensure the security of the account and password.
If the customer deletes their account in the online store of Nile Clothing AG, all entries on the Nilecard shall be deleted immediately. The Nilecard is linked to the customer account in the NILE Online Store.
Nilecard
The Nilecard gives the customer the opportunity to collect points through purchases and receive discounts when a certain threshold is reached. Participation in this program is free of charge, non-binding, personal and non-transferable. The Nilecard may not be used by multiple persons at the same time.
Points can be collected for each purchase in the online store or participating NILE retail stores. The amount of points awarded depends on the country in which the purchase is made. Details on the calculation of points, the thresholds and the expiry dates of the points can be found on the website www.nile.ch for each participating country.
Redeemable points can be used as a discount or payment method once a certain threshold has been reached. Points expire on a rolling basis after a defined period. Purchases for which a discount has already been applied result in fewer points being credited (usually 50% less than purchases without a discount).
NILE reserves the right to unilaterally adjust the awarding of points (in particular the number of points per amount of money spent), the thresholds and the expiry rules at any time. These changes shall be announced on the website and apply upon publication.
In the event of suspicion of misuse, NILE is entitled to withhold, correct or not grant points credits. In the event of recurrence, the customer may be excluded from the Nilecard program.
The current Privacy Policy of NILE shall apply.
1.6. DATA PROTECTION AND DATA TRANSFER
NILE strives to ensure the transparent processing of users’ personal data. All data protection provisions and information are listed in the separate Privacy Policy and cookie settings. In order to process orders, all data required for this purpose is transmitted to third-party providers, such as payment service providers, postal services and other delivery services. In particular, the following personal data is transmitted: full name, address and place of residence of the customer. In addition to the NILE Privacy Policy, we refer you to the privacy policies of the third-party providers who process personal data under their own responsibility.
1.7. INTELLECTUAL PROPERTY
All content contained in, or provided through, the website, such as software including interface information, text, graphics, logos, button icons, images, audio clips, digital downloads and data collections, as well as their presentation and documentation, are the property of NILE and are protected accordingly. This entire content may not be used by customers without the written consent of NILE.
1.8. LIABILITY
For damages that do not result from gross negligence or intent, NILE is liable – to the extent permitted by law – exclusively up to the amount of the purchase price of the relevant goods.
In addition, to the extent permitted by law, NILE excludes any liability – irrespective of its legal basis – and claims for damages in connection with the use of the website, the purchase of goods, the placing of orders, the use of the Nilecard and other offerings and services of NILE. In particular, liability is excluded for direct, indirect and consequential loss and damages as well as for lost profit, goodwill, loss of use, loss of data, other personal injury, property damage or pure financial loss.
Further mandatory statutory liability remains reserved, specifically for gross negligence, intent or personal injury.
Certain links on the website lead to third-party websites. These are completely beyond NILE’s influence and NILE therefore accepts no responsibility for the accuracy, completeness and legality of the content of such websites or for any offerings and services contained therein.
Payments in the NILE Online Store may be processed through external third-party providers. NILE accepts no liability for errors, delays, interruptions, technical malfunctions or other problems that lie within the responsibility of these payment service providers. Any claims in connection with payment processing must be asserted directly vis-à-vis the payment service provider concerned.
In addition to NILE, this disclaimer also exempts all subsidiaries and affiliates as well as their partners, directors, organs, employees and representatives, and auxiliaries.
1.9. APPLICABLE LAW AND PLACE OF JURISDICTION
The legal relationship between the customer and NILE is governed exclusively by Swiss substantive law, to the exclusion of conflict of laws rules (in particular the Swiss Federal Act on Private International Law, PILA) and the Vienna Sales Convention (United Nations Convention on Contracts for the International Sale of Goods, CISG).
For actions brought by consumers against NILE, the place of jurisdiction shall be the place of residence of the consumer or the registered office of NILE. For actions brought by NILE against consumers, the place of residence of the consumer shall be decisive. For all other actions, the exclusive place of jurisdiction shall be the registered office of NILE.
2.0. FINAL PROVISIONS
Should individual provisions of these GTC prove to be ineffective or unenforceable or become ineffective or unenforceable, this shall not affect the validity of the remaining provisions. Void or invalid provisions are to be replaced by valid provisions that come as close as possible to their economic purpose. The same procedure shall be followed in the event of a contractual loophole or if a provision proves to be unenforceable.
